Where We Are Now

We are two Nigerian nationals on tourist visas in the Philippines. We have been running Happy's Cuisine for nearly a decade with a loyal and growing customer base. The foundation is real. The business works. Now we are building the structure around it.

The goal is to register Harage Group Inc properly under Philippine law, secure a working visa, and position the business for real growth. Here is exactly how we are doing it.

The Registration Plan

Philippine law requires a corporation to be at least 60% owned by Filipino nationals. We are doing this properly with someone we genuinely trust. Our friend Rx Mendinueto will serve as Business Development Manager and Corporate Secretary of Harage Group Inc. He has not formally agreed yet but we trust that he will. His role is real and his contribution is valued.

Together we hold 40% as founding couple. Rx holds 60% as a genuine shareholder with full rights. This is not a nominee arrangement. It is a real partnership with a real friend.

Filipino relationships, sourcing, investor connections, marketing, SEC compliance, and corporate filings. The bridge between Harage Group and the Filipino business community.

The Long Term Share Plan

Over the next two to three years we intend to sell shares to investors to raise capital for growth.

We remain the highest combined founding bloc at 30%. Filipino ownership stays at 60%. The law is satisfied throughout.

The Visa Plan

Once Harage Group Inc is registered we apply for a 9(g) working visa tied to our roles as President and Vice President of a registered Philippine corporation. Happy's Cuisine is our proof of concept. Nearly a decade of serving Filipino customers with African food. That is a defensible and compelling case.

After the working visa is secured we apply for an Alien Employment Permit (AEP) as the company becomes fully operational.
